Subscription Agreement

Customer hereby agrees that this order is subject to the terms and conditions for products and support set forth at http://www.kepware.com. Customer may not cancel an order once Kepware has accepted it. Subscription licenses may not be cancelled or reduced during the subscription term. Other than the line items that serve to order products or Support Services, in no event shall any terms of a purchase order issued by the Customer modify or become part of this agreement or become binding on Kepware. Customer shall be responsible for all shipping and handling costs as well as any sales use, VAT, transfer, and other taxes and duties imposed by any federal, state, municipal, or other government authority relating to the licenses granted or the services provided hereunder; exclusive, however of taxes based on the net income of Kepware. Support Services will not be provided during the warranty period unless purchased as part of a Support Services Plan. Customer hereby authorizes Kepware to deliver the products via electronic delivery means in place of or in addition to physical shipment of media containing the products.

Subscription licenses shall automatically renew at the end of each subscription term for additional one year terms without the need for additional paperwork unless either party notifies the other party in writing of non-renewal at least 60 days prior to the renewal date. At the end of the subscription term (if not renewed), Customer’s right to use the licensed products shall cease, and Customer shall be required to uninstall and bank the software licenses back to Kepware for all licensed products. Kepware may increase the subscription fee for each renewal year by an amount not to exceed seven percent (7%) by providing notice of the fee increase (email is sufficient) approximately 90 to 120 days prior to the renewal date.
